Company Acquisition
RCS Advisors helped us acquire a key company for our business. RCS Advisors closely managed the acquisition in its entirety from getting ownership to engage in serious sale discussions, to intensive due diligence that revealed possible risks, to helping arrange bank financing, through to negotiating the final details of the purchase agreement. RCS Advisors negotiated a price that was much better than we had thought possible and provisions that later gave us valuable protection – both of which saved us a substantial amount of money.

RCS Advisors’ due diligence on the company was intensive and revealed potential risks. They addressed the risks by negotiating a better price and with creative deal-structuring and protective provisions in the purchase agreement. Years later when a few of these risks materialized, we were able to successfully enforce the purchase agreement and collect a substantial sum. When this occurred, RCS Advisors was there to help us enforce the agreement and collect - which could have been impossible had the acquisition not been handled properly from the early stages. Valuation: Estate Tax Filing
RCS Advisors performed a valuation of our company for estate tax purposes which was far more accurate than the valuation we had received from another valuation firm. RCS Advisors' valuation and assistance with tax planning saved me and my family a substantial amount of money. Litigation Support

Partner Buyout Dispute
With the tragic loss of one our partners, we were faced with a situation where the practice needed to redeem our late partner’s ownership share. Based on an estimate provided by another valuation firm, the legal representatives of our late partner’s estate pushed for a redemption price that we believed to be unreasonable.

We engaged RCS Advisors to provide an accurate value-estimate. RCS Advisors provided a detailed report that was submitted to the court and the other side. The report outlined their valuation work clearly explaining the nuances and more complex aspects. RCS Advisors’ report and valuation expertise were instrumental in reaching a resolution in our case. Both sides agreed to a settlement price that was very near RCS Advisors’ value-estimate, which was nearly one-third (1/3) of the value-estimate provided by the other side. We are very satisfied with RCS Advisors’ work and with what we feel was a fair outcome to our case.
